Updates to Corporate Law

On 01 April 2026, the Cabinet of Ministers of Ukraine adopted Resolution No. 438, approving the National Programme for the Adaptation of Ukrainian Legislation to European Union Law.

Among other things, the National Programme sets out 16 objectives for changes to corporate law. Most of these are aimed at bringing Ukrainian legislation into line with European Union standards and involve the implementation of 29 acts of EU legislation. The rest concern the institutional changes required for the effective functioning of the sector in question.

The Programme envisages the following key areas of change:

  • the introduction of the European Unique Identifier (EUID) and the integration of the Ukrainian register with the Business Registers Interconnection System (BRIS)
  • the introduction of new organisational and legal forms of legal entities (European company, European economic interest grouping, European cooperative society);
  • the adoption of regulatory acts concerning the identification of shareholders, the facilitation of the exercise of their rights, and the long-term engagement of shareholders;
  • the introduction of sustainability reporting, environmental impact reporting, and reporting on social standards and human rights.

It’s expected that these changes will enable Ukrainian businesses to operate within the EU as fully-fledged European economic operators, without additional barriers, with full access to the single market, cross-border transactions and European forms of business organisation
