On 05 February 2025, the Verkhovna Rada registered Draft Law No. 13002 on the possibility of creating additional capital by a company and making contributions to the company’s additional capital by its shareholders.
According to this document, the company’s charter may provide for the creation of additional capital of the company at the expense of contributions from its shareholders, separately from the company’s charter capital.
Contributions to the company’s additional capital will be made by shareholders without changing the nominal value or changing the size of the company’s share capital.
The resolution of the general meeting of shareholders on raising a contribution to the company’s additional capital shall determine the amount of such contribution.
In this case, a company’s contribution to the company’s additional capital may be in the form of money, securities, or other property, unless otherwise provided by law.
