On 27 August 2025, Law of Ukraine No. 4564-IX dated 31 July 2025 came into force, which enables the creation of additional capital by a company and contributions to the additional capital of a company by its shareholders.
The Law provides that, apart from the share capital of a company, the company’s charter may provide for the creation of additional capital of a company at the expense of contributions from its shareholders.
Contributions to the additional capital of the company are made by the shareholders without changing the nominal value or changing the size of the company’s share capital.
The resolution of the general meeting of shareholders on raising a contribution to the additional capital of the company shall determine the amount of such contribution.
A shareholder’s contribution to the company’s additional capital may be in the form of money, securities, or other property, unless otherwise provided by law.
